Platform / Website / Marketplace means Sandhai.ae, including all its features, mobile app, services, and interfaces.
Administrator / Operator / We / Us means the owner and operator of the platform (Sandhai.ae).
Vendor / Seller means a person or business authorized to list, sell, and deliver goods via the Platform.
Buyer / Customer / User means a person or business who purchases goods listed by Vendors via the Platform.
Parties means collectively the Vendor(s), the Buyer(s), and the Platform.
Goods / Products means items offered for sale via the Platform.
Services mean platform services (listing, payment processing, logistics integration, support, etc.).
Commission / Fees means the charges, percentage, or fixed amount that the Platform retains from each transaction.
By registering, listing, selling, buying, or otherwise using the Platform, all Users (Vendors and Buyers) agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform.
You must be legally capable (i.e., of legal age, duly registered if a business) to enter into contracts.
Vendors must provide valid business registration, tax / VAT registration if applicable, identity verification, bank account details, etc.
Buyers must provide valid personal or business information, payment credentials, delivery address, etc.
Vendors shall list only goods they own or are authorized to sell, and ensure accurate, lawful, non-deceptive descriptions, pricing, images, and inventory.
Vendors must comply with all applicable laws, including import/export, intellectual property, consumer rights, product safety, labeling, etc.
Vendors are responsible for fulfilling orders in a timely manner, packaging, shipping, returns, warranty, customer support, etc.
The Platform may set minimum/maximum selling price ranges, promotional rules, discount conditions, or category restrictions.
The Platform reserves the right to reject, remove, suspend, or delist any product or Vendor that does not comply with these Terms.
Buyers shall provide true, accurate, up-to-date information (name, address, payment method, contact).
Buyers are responsible for paying in full, using valid payment methods accepted.
Buyers must inspect delivered goods and report defects or discrepancies within a specified time window (e.g. 48 hours).
Buyers must not use the Platform for unlawful, fraudulent, or abusive purposes.
The Platform acts as an intermediary: Buyers place orders via the Platform; payments are collected by (or through) the Platform; the Platform transfers the net amount (after commission/fees, refunds, etc.) to the Vendor.
The Platform may hold funds for a settlement period (e.g., after delivery, returns window, etc.) before remitting to the Vendor.
The Platform charges a commission or fee (percentage or fixed) on each sale, which is deducted before transferring funds to the Vendor.
In case of refunds, cancellations, or chargebacks, the Platform will adjust remittances accordingly, and the Vendor may bear responsibility.
All taxes, duties, VAT, or similar charges (if applicable) must be handled in compliance with UAE / Sharjah / federal law.
The Platform may define a return/refund policy (e.g. 7 days, 14 days) which Vendors must honor, unless otherwise agreed.
In case of dispute, Buyer and Vendor shall attempt amicable resolution via the Platform’s dispute resolution process.
The Platform may mediate or intervene in disputes, hold funds, or determine penalties/compensation.
The Vendor is liable for defects, non-conformity, shipping damage, and warranty obligations.
The Platform retains all rights (copyright, trademarks, database rights) in the Platform’s content, layout, design, software, features, etc.
Vendors grant to the Platform a non-exclusive, worldwide, royalty-free license to host, display, promote, and use their product images, descriptions, logos, and other content necessary for the Platform’s operation.
Vendors shall not infringe third-party intellectual property (images, designs, trademarks).
Buyers shall not copy/use the Platform’s proprietary content beyond permitted uses.
Users must not breach applicable laws, upload malicious software, spam, post defamatory content, attempt hacking or reverse engineering, interfere with other users’ experience, use bots, or perform fraudulent actions.
Vendors must not list prohibited goods (counterfeit, illegal, dangerous, restricted items).
The Platform may suspend, disable, or terminate accounts violating these rules without prior notice.
The Platform provides its services "as is” and "as available.”
The Platform does not guarantee that operations are error-free, uninterrupted, or secure; nor that content is accurate or up to date.
The Platform is not liable for indirect, incidental, special, punitive, or consequential damages (lost profits, business interruption, loss of data, etc.) even if advised of such risks.
The Platform’s maximum liability to any user is limited to a defined amount (e.g., the total commission earned from that user in the last 12 months, or a capped sum).
The Platform is not the seller of goods, and is not responsible for the actual quality, safety, delivery, or warranties of Vendor-provided goods.
Vendors and Buyers indemnify the Platform against losses, claims, and damages arising from their breach or misconduct.
Use of personal data is governed by the Platform’s Privacy Policy (which should be a separate document).
The Platform collects, stores, processes, and shares (where necessary) data for platform operation, payments, logistics, marketing, etc.
Vendors must keep Buyer data confidential and use it only for fulfilling orders, customer service, etc.
Neither party shall disclose confidential information of the other (technical, financial, business) without consent, except as required by law.
The Platform may suspend, restrict, or terminate a user’s account for breach, inactivity, non-payment, or other reasons.
Vendors or Buyers may close their accounts after fulfilling outstanding obligations (pending orders, payments, and refunds).
On termination, Vendors must not list new products; settled amounts may still be disbursed, subject to reconciliation.
Clauses that by their nature survive termination (e.g., liability, intellectual property, confidentiality) continue in force.
The Platform may modify or update these Terms from time to time (e.g., for legal compliance, business changes).
The Platform will publish the "Last updated” date and notify users (e.g,. via email or in-platform notice).
Continued use after the update constitutes acceptance. If a user does not agree, they must cease using the Platform.
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (or specify Emirate, e.g., Sharjah) (or another agreed jurisdiction).
Disputes shall be resolved by the competent courts in [City / Emirate], UAE, or via arbitration/mediation (if specified).
Parties waive trial by jury, etc. (if applicable).
These Terms constitute the full agreement between the parties regarding the use of the Platform and supersede prior arrangements.
If a provision is held invalid or unenforceable, the remaining provisions stay in force.
Failure or delay by the Platform to enforce any right is not a waiver of that right.
Notices: communications must be via email or the means provided in the user profile; notice is effective when delivered or accessed.
Force Majeure: neither party is liable for delay or failure caused by events beyond reasonable control (natural disasters, government actions, etc.).
